Terms & Conditions

Welcome to the terms and conditions page of JHagueMedia, a video editing and post-production agency located in Johannesburg, Gauteng, South Africa. By using our services, you agree to be bound by the following terms and conditions:

1. Services 

JHagueMedia provides professional video editing and post-production services to clients. We will make every reasonable effort to meet the specific requirements of each client and deliver high-quality work on time. However, we do not guarantee that our services will meet your expectations or that they will be error-free.

2. Fees 

All fees for JHagueMedia services will be agreed upon in writing between JHagueMedia and the client prior to the commencement of any work. Fees may be subject to change if the scope of the project changes or additional work is required. Any additional fees will be agreed upon in writing between JHagueMedia and the client before the work is carried out.

3. Payment 

Payment for JHagueMedia services is due on receipt of the invoice. If payment is not received within 14 days of the invoice date, we reserve the right to charge interest on the outstanding amount at a rate of 2% per month until the payment is received.

4. Intellectual Property Rights

 All intellectual property rights in any work produced by JHagueMedia for a client will remain the property of JHagueMedia until payment has been made in full for the services provided. Upon receipt of full payment, JHagueMedia will assign all intellectual property rights to the client.

5. Confidentiality

 JHagueMedia agrees to keep all information about the client's project confidential and not to disclose any such information to any third party without the client's prior written consent.

6. Limitation of Liability

JHagueMedia will not be liable for any loss or damage suffered by the client arising from the use of our services or the work produced by JHagueMedia, except where such loss or damage is caused by our negligence or breach of these terms and conditions. In no event will JHagueMedia be liable for any indirect or consequential loss or damage.

7. Governing Law

These terms and conditions are governed by the laws of South Africa and any dispute arising from the use of our services will be subject to the exclusive jurisdiction of the South African courts.

8. Amendments

JHagueMedia reserves the right to amend these terms and conditions at any time by updating this page. Clients are advised to check this page regularly for any changes.

 

Common Provisions:

1. Entire Agreement These terms and conditions constitute the entire agreement between JHagueMedia and the client and supersede all prior agreements, understandings, and representations, whether written or oral, relating to the subject matter of this agreement.​

 

2. No Waiver No failure or delay by JHagueMedia in exercising any right, power or privilege under these terms and conditions will operate as a waiver of such right, power, or privilege.

3. Severability If any provision of these terms and conditions is held to be invalid or unenforceable, such provision will be severed from these terms and conditions, and the remaining provisions will remain in full force and effect.

4. Assignment The client may not assign or transfer any of their rights or obligations under these terms and conditions without the prior written consent of JHagueMedia.

Dispute Resolution:

1. Negotiation In the event of any dispute arising out of or in connection with these terms and conditions, the parties shall first attempt to resolve the dispute through good faith negotiations.

2. Mediation If the dispute is not resolved through negotiation, the parties shall attempt to settle the dispute by mediation in accordance with the rules of the Arbitration Foundation of South Africa (AFSA) or any other recognized mediation service provider agreed upon by the parties.

3. Arbitration If the dispute is not resolved through mediation, the parties shall refer the dispute to arbitration in accordance with the rules of AFSA or any other recognized arbitration service provider agreed upon by the parties.

4. Jurisdiction The parties agree that the courts of South Africa will have jurisdiction over any dispute arising out of or in connection with these terms and conditions, and the parties hereby submit to the exclusive jurisdiction of such courts.
